1. Agreement to Terms
By accessing or using FoodSight services provided by Positive Carbon Ltd ("FoodSight", "we", "our"), you agree to be bound by these Terms of Service. These terms apply to all users of the FoodSight platform at app.foodsight.com, the FoodSight website at foodsight.com, and any associated Scrappy food waste monitoring devices. If you disagree with any part of these terms, you may not access our services.
2. Description of Services
FoodSight provides an AI-powered food waste management platform for contract caterers and food service operators. Our services include: a multi-tenant SaaS platform for tracking, classifying, and analysing food waste across sites and kitchens; AI-powered food identification using photo capture and computer vision; dashboards, reports, and analytics for waste reduction insights; inventory and menu management tools; optional Scrappy hardware devices for automated waste monitoring; and user management with role-based access control across your organisational hierarchy.
3. Accounts and Access
You must create an account to use the FoodSight platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Organisation administrators are responsible for managing user access, roles, and permissions within their organisation. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these terms.
4. Data Ownership and Usage
You retain full ownership of all operational data collected from your food service operations, including waste classifications, weights, photos, inventory records, and menu data. We have a licence to use this data solely to provide and improve the FoodSight platform and services. Aggregated, anonymised data (which cannot identify you or your organisation) may be used for industry benchmarking, research, and platform improvement. We will never sell your identifiable data to third parties.
5. Subscription and Payment
FoodSight services are provided on a subscription basis. Pricing, contract terms, and payment schedules are specified in your individual service agreement. Subscriptions renew automatically unless cancelled with 30 days written notice before the renewal date. We reserve the right to adjust pricing with 60 days written notice. Failure to pay may result in service suspension. Hardware (Scrappy devices) remains the property of FoodSight throughout the subscription term and must be returned upon contract termination.
6. Service Level
We target 99.5% uptime for the FoodSight platform, measured monthly. Scheduled maintenance will be communicated at least 48 hours in advance where possible. We are not liable for service disruptions caused by factors outside our reasonable control, including but not limited to: internet connectivity issues, third-party service outages, force majeure events, or customer infrastructure failures.
7. Limitation of Liability
To the maximum extent permitted by law, FoodSight's total aggregate liability arising from or relating to these terms or the services shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
